("Company," "we," "us," or "our") through https://latticegraph.comor any related applications, APIs, SDKs, or services (collectively, the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity and its affiliates to these Terms. If you do not have such authority, you must not accept these Terms or use the Service on behalf of that entity.
The Company reserves the right to modify these Terms at any time, with or without notice. Changes are effective immediately upon posting. Material changes will be announced via email or in-product notice at least 14 days before they take effect. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
1. Service Description
The Service is a materials science data analytics and intelligence platform that may include, without limitation: material search and discovery, property analysis, workflow tools for battery, catalyst, packaging, supply chain, and intellectual property research, data visualization, graph analysis, API access, SDK tooling, MCP (Model Context Protocol) integrations, and related computational features.
The Company reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you or any third party. We do not guarantee the availability, uptime, accuracy, or specific functionality of any feature or component of the Service.
2. User Accounts and Responsibilities
To access certain features of the Service, you may be required to create an account through our authentication provider. You agree to:
- Provide accurate, current, and complete information during registration;
- Maintain the security and confidentiality of your account credentials;
- Accept sole responsibility for all activity that occurs under your account;
- Notify us immediately of any unauthorized use of your account at security@latticegraph.com.
The Company has no obligation to verify user identity and may reclaim usernames or organization identifiers at its discretion. You are solely responsible for any consequences arising from your failure to maintain account security.
3. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right;
- Engage in any illegal activity or facilitate illegal activity by others;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service, except to the extent expressly permitted by applicable law;
- Scrape, crawl, or use automated means to access the Service without prior written permission;
- Exceed documented rate limits, bypass access controls, or probe for vulnerabilities outside our responsible-disclosure policy;
- Circumvent, disable, or interfere with any security features of the Service;
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure;
- Impersonate any person or entity, or misrepresent your affiliation;
- Transmit any viruses, malware, or other harmful code;
- Attempt to gain unauthorized access to any portion of the Service, other accounts, or connected systems;
- Infringe upon the intellectual property rights of the Company or any third party;
- Upload content that violates export-control laws or trade sanctions;
- Harass, abuse, threaten, or harm any other user or individual;
- Resell, sublicense, or white-label the Service without a written agreement with us;
- Use the Service to build a competing product or service.
The Company reserves the right to determine, in its sole discretion, whether any use violates this policy.
4. Intellectual Property
All content, code, design, data, logos, trademarks, trade names, and other intellectual property associated with the Service are and shall remain the exclusive property of Lattice Graph, Inc. or its licensors. Nothing in these Terms grants you any right, title, or interest in our intellectual property except as expressly stated herein.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your lawful purposes. This license does not include the right to sublicense, resell, or redistribute any part of the Service.
User-Generated Content
By submitting, uploading, or transmitting any content through the Service ("User Content"), you grant the Company a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, display, and create derivative works from such User Content in connection with operating, improving, and promoting the Service. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any third-party rights.
Customer Data
You retain all rights to data you submit to the Service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide the Service. We do not train foundation models on Customer Data without your written consent.
5. Confidentiality
Each party agrees to protect the other's non-public information using the same standard of care it uses for its own confidential information and, in no case, less than a reasonable standard of care. Confidential information does not include information that (a) is or becomes publicly available without breach, (b) was known to the receiving party before disclosure, (c) is independently developed, or (d) is disclosed pursuant to a legal requirement.
6. Subscriptions and Payment Terms
Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to the following:
- All fees are non-refundable except where expressly required by applicable law or stated in a signed order form;
- The Company may change pricing at any time upon reasonable notice; continued use after a price change constitutes acceptance;
- You are responsible for all applicable taxes associated with your use of the Service;
- Subscriptions renew automatically at the end of each billing period; you must cancel before the renewal date to avoid being charged for the next period;
- No prorated refunds will be issued for partial billing periods or unused time;
- The Company may suspend or terminate access immediately for non-payment or failed payment attempts.
Payment processing is handled by our third-party payment processor, Stripe. Your use of Stripe's services is subject to Stripe's own terms and conditions. The Company does not store your full credit card or payment card details on its servers.
7. API and SDK Usage
If you access the Service through our API or SDK, the following additional terms apply:
- You must use valid API keys and keep them confidential; compromised keys must be rotated immediately;
- You must comply with all documented rate limits and usage quotas associated with your subscription tier;
- The Company may throttle or suspend API access for excessive usage or abuse;
- API response data is provided under the same disclaimers and limitations described in these Terms.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LATTICE GRAPH, INC. EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO: WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, UNINTERRUPTED OR ERROR-FREE OPERATION, SECURITY, AND FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY DATA, ANALYSES, PREDICTIONS, OR COMPUTATIONAL RESULTS PROVIDED THROUGH THE SERVICE. MATERIALS SCIENCE DATA AND COMPUTATIONAL OUTPUTS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND ARE NOT A SUBSTITUTE FOR PROFESSIONAL ENGINEERING JUDGEMENT OR LABORATORY VALIDATION. THEY SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR ANY DECISION, INCLUDING BUT NOT LIMITED TO RESEARCH, DEVELOPMENT, MANUFACTURING, OR INVESTMENT DECISIONS.
9. Limitation of Liability
IN NO EVENT SHALL LATTICE GRAPH, INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR USE OF OR INABILITY TO USE THE SERVICE;
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN;
- ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE;
- ANY BUGS, VIRUSES, TROJAN HORSES, OR SIMILAR ISSUES TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY;
- ANY ERRORS OR OMISSIONS IN ANY CONTENT, DATA, OR COMPUTATIONAL RESULTS;
- ANY THIRD-PARTY CONDUCT ON OR RELATED TO THE SERVICE;
- ANY DECISIONS MADE OR ACTIONS TAKEN IN RELIANCE ON DATA OR RESULTS PROVIDED BY THE SERVICE.
THE TOTAL AGGREGATE LIABILITY OF THE COMPANY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED US DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to defend, indemnify, and hold harmless Lattice Graph, Inc., its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service;
- Your violation of these Terms;
- Your violation of any third-party right, including any intellectual property or privacy right;
- Any User Content you submit or transmit through the Service;
- Any decisions made or actions taken based on data or results obtained through the Service.
11. Dispute Resolution and Arbitration
Mandatory Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.
Class Action Waiver
ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Arbitration shall take place in Wilmington, Delaware. Each party shall bear its own costs of arbitration, with filing fees split in accordance with AAA rules.
Exceptions
Small Claims: Either party may bring qualifying claims in small claims court in Wilmington, Delaware.
Injunctive Relief: Notwithstanding the foregoing, the Company may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or restrain intellectual property infringement, unauthorized access, or other violations of this agreement.
30-Day Opt-Out
You may opt out of the arbitration and class action waiver provisions by sending written notice to legal@latticegraph.com within thirty (30) days of first using the Service. Your notice must include your name, account identifier, and a clear statement that you wish to opt out of arbitration.
12. Termination
The Company may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach any provision of these Terms.
Either party may terminate for material breach that is not cured within 30 days of written notice.
You may terminate your account by discontinuing use of the Service and deleting your account. Upon termination, your license to use the Service ceases immediately.
Survival: All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property provisions, warranty disclaimers, limitation of liability, indemnification, dispute resolution, and arbitration.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any action not subject to arbitration.
14. Force Majeure
The Company shall not be liable for any failure or delay in performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, labor disputes, infrastructure failures, internet or power outages, third-party service provider failures, or governmental actions.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
16. Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Lattice Graph, Inc. regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral. The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of the Company.
17. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review the Privacy Policy to understand our practices regarding your personal information.
